  1. 3DFX INTERACTIVE, INC. LICENSE AGREEMENT 
  2.  
  3. LICENSE AND CONFIDENTIALITY:  3Dfx Interactive, Inc. ("3Dfx") grants you the
  4. right to install the enclosed software and related documentation (collectively,
  5. the "Materials") onto a single computer for your personal use.  You may not use,
  6. copy, modify, sell, transfer or disclose any part of the Materials except as
  7. provided in this Agreement. You may only use the Materials in connection with
  8. 3Dfx products.
  9.  
  10. RESTRICTIONS:  You may not:
  11. 1.    Sublicense the Materials;
  12. 2.    Reverse engineer, decompile, or disassemble the enclosed software;
  13. 3.    Use the Materials for for any platform or products other
  14.     than 3Dfx products;
  15. 4.    Make copies of the Materials other than for back-up purposes, and you
  16.     may not use the back-up copies other than as a replacement for the
  17.     original copy.  You must include on the back-up copies all copyright
  18.     and other notices included on the Materials; and
  19. 5.    Export the Materials in violation of the export control laws of the
  20.     United States of America and other countries.
  21.  
  22. Demo Software:  3Dfx hereby grants to you the right to use the demo software on 
  23. your personal computer with 3Dfx products.  You agree to indemnify 3Dfx and its 
  24. affiliates against any loss, liability or expense (including reasonable legal 
  25. fees) arising out of or in connection with the use, marketing, licensing or sale 
  26. of the demo software or the maintenance, support or other services or activities 
  27. related thereto.
  28.  
  29. TERMINATION:  Upon any violation of any of the provisions of this Agreement,
  30. your right to use the Materials shall automatically terminate and you shall be
  31. obligated to return to 3Dfx or destroy all of your copies of the Materials.

  33. OWNERSHIP AND COPYRIGHT OF MATERIALS:  Except for the license expressly granted
  34. hereunder, 3Dfx retains all rights, title and interests in and to the Materials
  35. and all copies thereof.  The Materials are copyrighted and are protected by
  36. United States copyright laws and international treaty provisions.  You
  37. acknowledge that the Materials are valuable trade secrets of 3Dfx.  You may
  38. not remove the copyright and other proprietary rights notices from the
  39. Materials.  You agree that this Agreement shall be retained with all printed
  40. and electronic copies the software and documentation constituting the Materials.
  41. You agree to prevent any unauthorized copying of the Materials.  Except as
  42. expressly provided herein, 3Dfx does not grant any express or implied right to
  43. you under 3Dfx patents, copyrights, trademarks, or trade secret information.
  44.  
  45. NO WARRANTY; NO LIABILITY FOR DAMAGES:  THE MATERIALS ARE PROVIDED "AS IS" 
  46. WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES 
  47. OF SATISFACTORY QUALITY, MERCHANTABILITY, NONINFRINGEMENT OF THIRD-PARTY 
  48. INTELLECTUAL PROPERTY, OR FITNESS FOR ANY PARTICULAR PURPOSE.  IN NO EVENT 
  49. SHALL 3DFX BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT 
  50. LIMITATION, DIRECT OR INDIRECT DAMAGES, DAMAGES FOR LOSS OF PROFITS, BUSINESS 
  51. INTERRUPTION, LOSS OF INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO 
  52. USE THE MATERIALS, EVEN IF 3DFX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH 
  53. DAMAGES. Without limiting the generality of the foregoing, no warranty is made
  54. that the enclosed software will generate computer programs with the
  55. characteristics or specifications desired by you or that the demo software
  56. will be error-free.  THESE DISCLAIMERS OF WARRANTY CONSTITUTE AN ESSENTIAL PART
  57. OF THIS AGREEMENT.  Because some jurisdictions prohibit the exclusion or
  58. limitation of liability for damages, the above limitation may not apply to you
  59. and you may have other legal rights that vary by jurisdiction.
  60.  
  61. NO SUPPORT:  3Dfx does not provide any support for the Materials.  However,
  62. 3Dfx does have a newsgroup at its web site in which the enclosed software is
  63. discussed.  3Dfx does not, however, make any representations or warranties as
  64. to the accuracy of any statements or advice provided by any participant in the
  65. newsgroup. 
  66.  
  67. US GOVERNMENT RESTRICTED RIGHTS.  Use, duplication or disclosure by the U.S.
  68. government is subject to restrictions set forth in subparagraphs (a) through
  69. (d) of the Commercial Computer-Restricted Rights clause at FAR 52.227-19 when
  70. applicable, or in subparagraph (c)(l)(ii) of the Rights in Technical Data and
  71. Computer Software clause at DFARS 252.227-7013, or at 252.211-7015, or to
  72. 3DfxÆs standard commercial license, as applicable, and in similar clauses in
  73. the NASA FAR Supplement. Contractor/manufacturer is 3Dfx Interactive, Inc.,
  74. 4435 Fortran Drive, San Jose, California  95134.

  76. OTHER AGREEMENT:  If you have executed another license agreement with 3Dfx
  77. with respect to the Materials, then notwithstanding any other term in this
  78. Agreement the terms of that license agreement shall control your use of the
  79. Materials.
  80.  
  81. MISCELLANEOUS.  Subject to the immediately preceding paragraph, this Agreement
  82. represents the complete agreement concerning this license and may amended only
  83. by a writing executed by both parties.  If any provision of this Agreement is
  84. held to be unenforceable, such provision shall be reformed only to the extent
  85. necessary to make it enforceable.  This Agreement shall be governed by
  86. California, U.S.A. law (except for conflict of law provisions). The application
  87. the United Nations Convention on Contracts for the International Sale of Goods
  88. is expressly excluded.

  90. "3Dfx Interactive", the 3Dfx Interactive logo, and other 3Dfx Interactive
  91. product names are trademarks, and in some jurisdictions may be registered
  92. trademarks, of 3Dfx Interactive or its affiliated companies.  Other trademarks
  93. are the property of their respective owners.
